二板市场是专门为中小企业直接融资而设计的新型资本市场，其上市门槛相对于主权市场来说较低，是风险投资退出的最佳方式。二板市场的推出是我国发展风险投资的必然趋势。然而，在我国目前市场还不甚健全、监管仍不够完善的现实条件下，还不具备建立二板市场的客观条件。建立二板市场不应操之过急，但也不能过于悲观，随着我国证券市场的不断完善、企业体制的不断健全、政府监控的不断提高，我们同样有理由对二板市场充满信心。
The second board market is a new type of capital market designed for direct financing of SMEs. Its listing threshold is lower than that of the sovereign market, which is the best way for venture capital to exit. The introduction of the second board market is an inevitable trend of China's development of venture capital. However, under the realistic conditions that the market of our country is still not perfect and the supervision is still not perfect, we still do not have the objective conditions for establishing the second board market. The establishment of the second board market should not be too hasty, but it should not be too pessimistic. With the constant improvement of the securities market in China, the continuous improvement of the corporate system and continuous improvement of government supervision, we also have every reason to be confident about the second board market.
