前一时期,一些定向募集股份有限公司进行了内部职工持股试点,对促进职工关心企业资产保值增殖,增强企业凝聚力起到了积极作用。但也有不少企业未认真执行国家有关规定,超范围超比例发行内部职工股,一些地方还出现了非法交易。不仅干扰了股份制试点工作,而且影响了证券市场的健康发展。为了进一步规范内部职工持股试点,促进证券市场的健康发展,根据《国务院关于进一步加强证券市场宏观管理的通知》和《国务院办公厅转发国家体改委等部门关于立即制止发行内部职工股不规范做法意见的紧急通知》的精神,决定对定向募集股份有限公司内部职工股存在的问题进行一次全面清理。现将有关问题通知如下:
