目前我国有关商业秘密竞业禁止的法律法规比较笼统、零散、原则,缺乏普遍性和可操作性。如何完善法律规定,在竞争与限制之间寻求一个合适的平衡点,让用人单位和人才的合法权益都能得到合理保护,是研究和解决竞业禁止问题的关键所在,也是立法机关必须面对的问题。建议立法机关从竞业禁止的主体范围、补偿金和违约金的标准、劳动合同解除的原因、离任董事经理的竞业禁止等方面考虑,对现行法律制度进行完善。
At present, the laws and regulations on the prohibition of noncommercial sales of commercial secrets in our country are rather general, fragmented, and lack of universality and operability. How to improve the legal provisions, seek a suitable balance between competition and restriction, and ensure that the legitimate rights and interests of employers and personnel can be reasonably protected are the key points for studying and resolving the prohibition of non-competition in the industry and also for the legislature to face The problem. It is suggested that the legislature should improve the current legal system from the perspective of the scope of non-compete main bodies, the standards of compensation and liquidated damages, the reasons for the termination of labor contracts and the non-competition of non-executive directors.
