在保险公司所有权与经营权分离的条件下 ,那些控制着公司并拥有较大自主权的经理人员 ,有可能出于个人动机或由于种种原因 ,在“可容忍”(即不违法 )的范围内 ,使保险公司经营的目标偏离利润最大化的目标。偏离产生的原因是执行成本的存在及人力资本的影响。经理人员目标与保险公司目标偏离的主要表现形式为组织寻租行为和组织的专业化与其盲区。控制或者纠正经理人员目标与保险公司目标偏离的方式方法是 :产品市场的竞争 ;管理人员劳动力市场竞争 ;组织设计 ;经理报酬制度以及市场上的公司控制权竞争等。而最主要的是保险公司治理结构中的激励与约束机制。
