现代企业制度是指符合社会化大生产的特点,适应社会主义市场经济体制的需要,使企业真正成为面向国内、国际两个市场的法人实体和市场竞争主体的一种企业体制,即:适应市场经济要求,产权清晰、权责明确、政企分开、管理科学的现代企业制度。现代企业制度是社会主义市场经济的产物,这就决定了建立现代企业制度必须坚持具有社会主义特有性质的职工代表大会制。笔者认为理由有四:
