本文尝试运用“产权经济学”的理论和分析方法，阐述了投资银行参与企业并购的合理逻辑，从企业并购和投资银行发展的角度，分析了投资银行参与我国企业并购的重要意义，并针对投资银行参与企业并购中存在的产权障碍、资本市场障碍、企业家障碍及投资银行本身的障碍逐一进行分析，提出相应的政策建议
This paper attempts to use the theory and analysis method of “Property Economics” to expound the reasonable logic of investment banks participating in M & A. From the perspective of M & A and investment bank development, this paper analyzes the importance of investment banks participating in M & A in China. The Bank's obstacles to property rights barriers, capital market barriers, entrepreneurial obstacles and investment banks in M & A are analyzed one by one, and the corresponding policy recommendations
