2006年8月27日第十届全国人民代表大会常务委员会第二十三次会议通过的《中华人民共和国企业破产法》(以下简称《企业破产法》)的一个重要使命是保护债权人的合法权益。知情权是债权人的一项重要权利,它是债权人行使其他权利的基础。债权人知情权从破产程序启动开始,一直延续至破产程序终结,它贯穿于破产程序的始终。现行《企业破产法》对债权人知情权缺乏细致、明确的规定,导致实务中债权人行使该权利遭遇制度上的障碍。本文拟从债权人知情权行使的现状出发,全面分析知情权行使障碍的原因,最后进行应然范畴上的制度设计,以重构债权人知情权保护制度,实现《企业破产法》所希冀的“保护债权人和债务人的合法权益”的立法目的。

This article intends to proceed from the current situation of the exercise of the right to information of the creditors, analyzes the reasons of obstacles to the right to information in an all - round way, and finally designs the system in the scope of what should be done so as to reconstruct the system of protecting the creditor ’s right to know and realize the hope of the “Enterprise Bankruptcy Law” Protect the legitimate rights and interests of creditors and debtors "legislative purpose.
