公司资本法律制度是建立现代公司法律制度的基础。本文的主要内容包括:通过对公司法人财产权内涵的分析,以期确立公司法人财产所有权的理念;分析了公司资本制度的发展趋势以及我国对其的科学选择;分析了我国公司取得自己股份的现实需要和相应的法则;对目前我国公司制度中注册资本的最低额要求、公积金和公益金的提取以及转投资限制等规定的弊端作了分析,以期建立更为合理、有效的公司资本制度。
The legal system of company capital is the foundation of establishing modern company legal system. The main contents of this paper include: Through the analysis of the connotation of the legal person’s property rights in order to establish the concept of corporate ownership of the legal person; to analyze the development trend of the company’s capital system and our country’s scientific choice; to analyze the actual need of the Chinese company to acquire its own shares And the corresponding law; analyzes the current minimum requirements of registered capital in our company system, the withdrawal of provident fund and commonweal fund, as well as the limitations on the reinvestment of capital, in order to establish a more reasonable and effective corporate capital system.
