优先受偿权是债权人依照法律规定处理债务人提供财产担保的抵押物或留置物抵偿债权的权利.民法通则第89条规定,债务人或者第三人可以提供一定的财产作为抵押物.债务人不履行债务的,债权人有权依照法律的规定以抵押物折价或者以变卖抵押物的价款优先得到偿还.按照合同约定一方占有对方的财产,对方不按照合同给付应付款项超过约定期限的,占有人有权留置该财产,依照法律的规定以留置财产折价或者以变卖该财产的价款优先得到偿还.民诉法第203条规定,作为银行贷款债权的抵押物或者其他担保物的财产,银行和其他债务人享有就该抵押物或者其他担保物优先受偿的权利.抵押物或者其他担保物的价款超过其所担保的债务数额的,超过部分属于破产还
