近年来,我国一些企业开始借助管理层收购(MBO)方式实现企业产权的变革。由于引起较大争议,目前MBO收购虽未作法律性禁止,但在我国的国有大中型企业已暂叫停。主要是因为以往的MBO实施暴露出许多诸如收购主体、法律障碍、收购价格、收购资本等问题,本文就MBO在我国的实施及存在的问题进行了进一步的分析,并提出若干我国企业MBO实施的对策。
In recent years, some enterprises in our country have begun to realize the transformation of enterprise property rights through MBOs. As a result of much controversy, although the current MBO acquisition has not been legally prohibited, the state-owned large and medium-sized enterprises in our country have temporarily stopped. This is mainly because the MBO implementation in the past exposes many issues such as the subject of acquisition, legal barriers, the purchase price and the acquisition of capital. This article further analyzes the implementation and existing problems of MBO in our country and puts forward some suggestions on the implementation of MBO in our country Countermeasures.
