国内外学者们对董事会的研究有诸多文献问世,学者们多从董事会规模与公司价值间的关系、独立董事作用、董事会治理行为、董事会报酬以及董事会诊断与评价等角度对董事会展开规范研究与实证研究,这些研究成果丰富了公司治理的理论,同时对公司治理实务也有重要的指导意义。
Scholars at home and abroad have a lot of literature on the research of the board of directors. Scholars mostly conduct normative research and empirical research on the board of directors from the perspectives of the relationship between the size of the board of directors and the company value, the role of independent directors, the governance behavior of the board of directors, the remuneration of the board of directors and the diagnosis and appraisal of the board of directors. Research, these research results enrich the theory of corporate governance, but also has important guiding significance for corporate governance practice.
