重建公司治理结构是债转股成功的关键 ,但是 ,资产管理公司面临着股东权利不明确、委托———代理过程中不对称信息严重、资产管理公司预算“软”约束等困难 ,因此 ,可以从以下方面采取对策 :( 1)与国有资产管理体制的改革相结合 ,推进国有经济的战略性调整 ;( 2 )保证资产管理公司股东权利的完整性 ;( 3)严格信息披露和引入专家董事 ;( 4 )硬化资产管理公司的预算约束。
The reconstruction of corporate governance structure is the key to the success of debt-to-equity swap. However, asset management companies are faced with such problems as unclear shareholder rights, serious asymmetric information in entrustment-agency process, and “soft” constraints on the budget of asset management companies. Therefore, (1) Combining with the reform of the state-owned assets management system to promote the strategic adjustment of the state-owned economy; (2) To ensure the integrity of the shareholders' rights of the asset management company; (3) To strictly disclose the information and introduce the expert directors ; (4) the budget constraints of hardened asset management companies.
