在不同历史阶段的商业登记立法都会打上特定时期的烙印,随着市场经济的不断发展,我国的商事登记公告制度存在很大得滞后性,尤其是公告的效力不确定,公告的主体不统一、公告的形式规定处于模糊状态。其根本原因在于对登记公告的性质和功能认识模糊、界定不清。因此,本文首先分析我国现行登记公告制度存在的不足,然后阐述商事登记公告的基本理论,并以此为基础,具体探讨我国商事登记公告制度的完善。
In the different historical stages of the business registration legislation will be marked with a special period of brand, with the continuous development of the market economy, China’s business registration announcement system there is a big lag, especially the validity of the announcement is not clear, the main announcement is not uniform, The form of the announcement is ambiguous. The fundamental reason is that the nature and function of the registration announcement are vague and unclear. Therefore, this paper first analyzes the shortcomings of the current registration announcement system in our country, and then elaborates the basic theory of the commercial registration announcement, and based on this, probes into the consummation of our country’s commercial registration announcement system.
