产权制度改革的不彻底 ,使改制公司在运行过程中呈现出诸多制度缺陷 ,公司的生存与发展受到极大的威胁。因此 ,必须进一步深化产权制度改革 ,完善法人治理结构 ,根治公司的制度缺陷。措施在于 :( 1)实施股权结构治理 ,杜绝“一股独大”现象 ,实现同股、同权、同责、同利 ;( 2 )采用分权制 ;( 3 )在公司推行问责制 ;( 4 )完善组织结构 ,使其成为名符其实的独立法人 ;( 5 )建立健全公司内外部监督体系 ;( 6)完善公司制度体系建设
The reform of property rights system is not complete, so that the restructuring of the company during the operation showed many system defects, the survival and development of the company under great threat. Therefore, we must further deepen the reform of property rights system, improve the corporate governance structure, and cure the system defects of the company. The measures are as follows: (1) Implementing the governance of the ownership structure, putting an end to the phenomenon of “one stock alone”, realizing the same stock, same rights, same responsibilities and equal benefits; (2) adopting decentralization; (3) ; (4) improve the organizational structure, making it a truly independent legal entity; (5) establish and improve the company's internal and external supervision system; (6) improve the system of corporate governance
