我国独立董事制度的实施已经有一段时间了,但我国独立董事制度存在许多先天不足。例如在架构上独立董事与监事会存在冲突,独立董事维持自身独立性非常困难,独立董事行使监督权的效率低下。种种问题的存在严重制约了我国独立董事制度的运行,本文在分析存在的问题之后,提出了一些解决问题的思考。
China’s independent director system has been implemented for some time, but there are many inherent deficiencies in China’s independent director system. For example, there is a conflict between independent directors and the board of supervisors in the framework. It is very difficult for independent directors to maintain their independence and the inefficiency of independent directors in exercising their supervisory power. The existence of various problems has severely restricted the operation of the system of independent directors in our country. After analyzing the existing problems, this article put forward some solutions to the problems.
