英美与大陆两大法系之下的保险代位权制度都长期秉承不以保险合同当事人的意志为转移的法定性。近年来,中间性保险合同的拓展对保险代位权制度产生了巨大的制度需求,但是,由于此类保险合同具有损失补偿缺乏一致性以及改变被保险人优先受偿模式等特殊性,法定代位权制度无法在这一领域得以有效推行。而约定代位权制度则将其效力建立在保险合同当事人意志的基础之上,从而有助于克服这一制度障碍,并最终从整体制度的层面来缓解法定代位权制度所面临的刚性化困境。

The contracting subrogation system bases its validity on the will of the parties to the insurance contract, which helps to overcome the obstacles of the system and finally ameliorates the rigid dilemma facing the legal subrogation system from the perspective of the overall system.
