基本情况:2005年,河南省漯河市有5家企业发生对外股权转让业务,金额为3,215 万美元,占全年引进外资的67％,是上年的10倍多。股权转让主要涉及食品饮料业及相应的包装材料的生产加工和销售。股权转让形式多样。外方购买股权出资方式灵活,有外资以现汇直接出资收购企业股权、以人民币利润再投资出资、外方以合资企业清算资金所得出资三种形式。
Basic situation: In 2005, five enterprises in Luohe City, Henan Province, engaged in foreign equity transfer business with a total amount of USD32.15 million, accounting for 67% of the total foreign investment introduced in the year, more than 10 times that of the previous year. Equity transfer mainly involves the food and beverage industry and the corresponding packaging materials production, processing and sales. Equity transfer in various forms. Foreign investors have the flexibility to invest their shares in the form of direct investment in foreign exchange to acquire the shares of the enterprise, re-invest the profits in Renminbi and the capital contributions made by the foreign parties in liquidation of funds in the joint ventures.
