在全球经济一体化趋势和中国加入WTO的背景下 ,外资并购中国企业已成为外商直接投资的热点。但是 ,不仅要看到外资并购国有企业具有引入资金、管理经验和明晰产权等优点 ,同时也要看到其引发出的一系列问题。探讨外资并购国有企业中出现的问题 ,完善有关外资并购的法律规范体系 ,促进经济建设具有十分重要的意义
Under the background of the trend of global economic integration and China’s accession to the WTO, foreign M & A of Chinese enterprises has become a hot spot for foreign direct investment. However, it is not only necessary to see the merits of foreign-funded mergers and acquisitions of State-owned enterprises in introducing capital, management experience and clear property rights, but also to see the series of problems that they have triggered. It is of great significance to discuss the problems that arise when foreign capital mergers and acquisitions of state-owned enterprises, improve the legal norms concerning M & A of foreign capital, and promote economic construction
