公司僵局是指股东或董事之间的冲突已经导致公司陷入了一种无法形成有效决策的事实状态,并且这种事实状态危及公司的正常生产运营,给公司股东等人员带来利益损失。本文将首先介绍公司僵局的界定及特征,其次分析公司僵局成因与危害,最后探讨公司僵局的救济机制引进预防机制,完善公司司法救济制度体系,以更好地防范和打破公司僵局。
The corporate stalemate means that the conflict between the shareholders or the directors has led the company to a de facto state that can not form an effective decision-making, and such factual situation endangers the normal production and operation of the company and brings about a loss of interests to the shareholders of the company. This article will first introduce the definition and characteristics of corporate deadlock, followed by analysis of the causes and harms of the corporate deadlock, and finally discuss the relief mechanism of the corporate deadlock to introduce prevention mechanisms and improve the system of corporate judicial remedies to better prevent and break the corporate deadlock.
