效率违约的内涵效率违约,是以波斯纳为代表的美国经济分析法学派提出的一种违约理论,其含义是:合同的一方当事人只有因违约带来的收益将超出己方及他方履约的预期收益,并且针对预期收益的损害赔偿有限,使之在承担违约责任后仍有盈余,违约才是一个理性的选择。由于效率违约强调“违约收益超过履约的预期收益”(己方与他方之和),获取违约收益的一方当事人有违约的激励,所以又称为“有效益的违约”。
