独立董事制度,作为西方发达国家的基本经济制度之一,是市场经济发展到一定阶段的必然产物,在西方发达国家上百年的经济运行中孕育、发展并不断完善,为形成规范的市场运行机制发挥了极为重要的作用。针对我国证券市场目前存在的种种问题,尽快建立独立董事制度,确保证券市场规范发展的呼声越来越高。独立董事制度是在我国目前的现实经济条件下,能对证券市场的规范发展起到较大作用,且社会震动较小、运行成本较低的制度模式,具有极强的可运作性。
