场外交易市场(OTC Market),又称柜台市场、店头市场,是场内交易市场或者证券交易所市场的对称。今天的场外交易市场已经是一个涵盖范围极广的概念。广义的场外交易市场泛指证券交易所市场之外的各种证券交易活动的场所。各个国家的场外交易市场无统一的发展模式,一个国家或地区选择何种模式通常是由其历史、社会、经济、文化等因素综合决定的。尽管对场外交易市场的内涵和外延尚无统一的定论,但都达成了共识,即场外交易市场,是多层次资本市场体系中一个重要的组成部分,其在完善资本市场功能方面起着关键性的作用,对一国经济发展起着巨大的推动作用。
