收购过程中融资风险的转移是影响目前我国MBO公允性的一个突出问题。我国特殊的资本市场结构性缺陷和金融体制造成的融资环境以及公司的治理结构缺陷是形成这种局面的主要因素。有效解决MBO融资风险转移,是提高我国MBO效率的关键。本文就目前我国MBO的融资风险转移的形成及规避作了初步的分析和探讨。
The transfer of financing risk in the process of acquisition is a prominent issue affecting the current fairness of MBO in our country. The structural flaws in China’s special capital market and the financing environment caused by the financial system as well as the defects of the corporate governance structure are the main factors in forming this situation. To effectively solve the MBO financing risk transfer is the key to improving the efficiency of MBO in our country. This article analyzes and discusses the formation and evasion of MBO financing risk in our country at present.
