1998年7月1日,大港油田(集团)有限公司(以下简称大港油田)、天津炼达集团有限公司和天津大港油田重油公司举牌公告,已通过二级市场收购上海爱使股份有限公司(以下简称爱使股份)的股份606.53万股,占其总股本的5%,从而拉开了一场一波三折的收购与反收购战序幕。经过三次举牌,到8月14日,大港油田及其所属的关联企业已经合并持有爱使股份10.01%的股份,成为其第一大股东。
