美国在金融危机后出台的JOBS法以放松中小企业监管,拓宽融资渠道,创造就业,从而恢复美国经济繁荣为目标。该法注重证券发行制度的改革,以促进中小企业更多通过股权融资的方式进行融资,促进证券市场的繁荣。本文在对美国证券法渊源、发展和变革进行充分理解和总结的基础上,对美国JOBS法进行有效学习和借鉴。
The JOBS law released by the United States after the financial crisis aiming to ease the supervision of SMEs, broaden the financing channels, create employment, and resume the economic prosperity of the United States. The law focuses on the reform of the securities issuance system, in order to promote SMEs to raise funds through equity financing more ways to promote the prosperity of the securities market. Based on the full understanding and summary of the origins, development and changes of the securities law in the United States, this article effectively studies and references the JOBS law in the United States.
