宝钢的董事会改革试点,媒体普遍认为走的是新加坡“淡马锡模式”,这是正在紧锣密鼓进行的央企董事会试点工作的有益尝试。对董事会试点工作,国资委主任李荣融的解读是:试点企业主要是建立外部董事制度,在董事会下面设立战略、提名、薪酬与考核等专门委员会,逐步形成出资人、董事会、监事会、经理层各负其责、协调运转、有效制衡的符合现代企业制度要求的公司治理结构。可以说,完善中央企业的公司治理结构,是近阶段我国国企改革的一大任务,而在中央企业层面建立董事会,成为国资委成立以来发力推动的一项重大决策。
