本文认为 ,在目前国有企业改制的过程中 ,必须注重对国有企业进行彻底的组织再造。从政府与企业的关系看 ,要将作为政府机构附属物 ,承担过多社会职能的行政组织改造为真正的市场组织 ;从所有者与企业的关系看 ,要将所有者直接控制经营的企业组织改造为所有者只行使终极所有权 ,企业法人财产由职业经理 (企业家 )直接控制经营的组织 ;从企业治理结构看 ,要由党委、行政、职代会、工会分工协作的治理结构 ,改造为股东会、董事会、监事会、经理层分工协作和相互制约的治理结构
This paper argues that in the process of the restructuring of state-owned enterprises, we must pay attention to the thorough restructuring of state-owned enterprises.
