所谓独立董事是指不在上市公司任职且与上市公司没有股权联系的董事,独立董事制度则是关于独立董事的选聘、法律责任、激励措施、组织方式等一系列法律、规定、制度的总和。随着我国资本市场的发展,在公司尤其是上市公司中设立董事已经提到了议事日程上。在此时进行我国独立董事制度设计的研究,有较大的现实意义。
The term “independent director” refers to a director who does not hold positions in a listed company and does not have any equity relationship with a listed company. The system of independent directors is the sum of a series of laws, regulations, and systems concerning the selection and appointment of independent directors, legal responsibilities, incentives and organization methods. With the development of China's capital market, the establishment of directors in companies, especially listed companies, has already been mentioned on the agenda. It is of great practical significance to conduct the research on the design of the system of independent directors in our country at this time.
