现代企业制度是国有企业改制和民营企业建制的共同发展方向。职工持股会是国有企业在以制度变迁理论为支撑的我国社会主义市场经济中的重大实践,也是新形势下企业产权制度改革中出现的一种新的股权形式,它对推进企业产权制度改革,增强企业凝聚力,调动广大职工的积极性有着重要作用。职工持股会在维护股东的权益的同时,也具有监管国有资产的作用,能使国有资产风险减少,起到现代企业制衡机制的补充作用。为此,要求尽快制定一部全国性的关于职工持股会的法律,赋予职工持股会明确的法律地位。国家对职工股份的回购,应出台指导性意见,让员工与全社会共享改革发展成果。
The modern enterprise system is the common development direction of the restructuring of state-owned enterprises and the formation of private enterprises. Employee stock ownership is a major practice of the state-owned enterprises in China’s socialist market economy supported by institutional change theory. It is also a new shareholding form in the reform of enterprise property rights under the new situation. It promotes the reform of enterprise property rights system. Enhance the cohesiveness of enterprises and mobilize the enthusiasm of the majority of employees has an important role. Employee stock ownership will also play a role in the supervision of state-owned assets while safeguarding the rights and interests of shareholders. It can reduce the risk of state-owned assets and play a complementary role in modern enterprise checks and balances. To this end, it is required to formulate a nationwide law on the employee shareholding association as soon as possible, giving the employees a clear legal status in holding shares. The State shall issue guiding opinions on the repurchase of employee shares so that employees can share the results of reform and development with the whole society.
