本文通过分析我国目前外资并购立法领域现状,指出我国并购立法应借鉴他国的方面。《外国投资者并购境内企业暂行规定》是目前我国在外资并购方面最重要的一部法律,本文对这部法律进行了详细分析,并指出了其中的不足之处和改进建议。
This article analyzes the status quo of China’s current field of M & A of foreign investment, and points out that our country’s M & A legislation should draw lessons from other countries. The Provisional Regulations on the Merger and Acquisition of Domestic Enterprises by Foreign Investors is the most important law of our country in mergers and acquisitions by foreign investors. This article analyzes the law in detail and points out the shortcomings and suggestions for improvement.
