本文从企业家决策权力的自我约束、企业管理层面上的系统控制、约束机制乃企业的成功之道等几个方面 ,详细讨论了企业集团转型期内部的约束机制问题 ;文章结合美国DELL公司、中国巨人集团、英国巴林银行、日本住友银行等企业管理实践中的经验教训 ,进行了系统分析与深入的学术探讨 ,并根据企业管理系统工程的原理 ,对于建立与健全企业的管理制度和约束机制 ,提出了可操作的对策。
