2005年8月11日,阿里巴巴和雅虎双方宣布达成战略性《股权收购和赠股协议》。根据协议,雅虎出资10亿美元分别收购淘宝网和阿里巴巴的股份,同时雅虎将中国的中国资产及所收购的淘宝网股份赠予阿里巴巴,换取阿里巴巴的股份。协议履行后,阿里巴巴已拥有100%淘宝网的股份以及雅虎品牌的技术和无限期使用权,而雅虎则持有阿里巴巴40%的股份,但只享有35%的投票权。此举使阿里巴巴成为中国融资额最大的非上市公司,同时也成为中国目前市场价值最高的互联网公司,其估值高达42.5亿美元。阿里巴巴和雅虎交易的完成还使阿里巴巴成为中国业务最全面的互联网公司,业务包括企业电子商务、个人电子商务、网上支付、网络搜索以及网络门户等。
August 11, 2005, Alibaba and Yahoo announced the conclusion of a strategic “share purchase and gift agreement.” According to the agreement, Yahoo invested $ 1 billion to acquire shares of Taobao and Alibaba, respectively, while Yahoo donated its Chinese assets and Taobao shares it acquired to Alibaba in exchange for Alibaba’s shares. Alibaba already owns 100% of Taobao’s shares and the Yahoo brand’s technology and indefinite use rights after the agreement is fulfilled, while Yahoo owns 40% of Alibaba but only 35% of the voting rights. This move made Alibaba the largest non-publicly funded company in China and also the Internet company with the highest market value in China. Its valuation is as high as 4.25 billion U.S. dollars. The completion of Alibaba and Yahoo also makes Alibaba.com the most comprehensive Internet company in China, with businesses including corporate e-commerce, personal e-commerce, online payment, web search and web portals.
