国际债券交易在实践中通常依当事人意思自治确定其准据法 ,但此种自体法的效力受到国际债券交易中的强制规则的限制。本文主要从外汇管制法和消费者合同这两个方面入手 ,分别探讨了国内外汇管制法规的效力、《国际货币基金组织协定》第 8条 2款b项的准用性、以及《罗马公约》第 5条之消费者合同条款对于国际债券交易准据法的限制。这些均构成国际债券交易准据法的例外 ,共同支配国际债券交易中的相关问题。
In practice, the international bond transactions are usually determined by the autonomy of the parties according to their applicable law, but the validity of such self-contained laws is limited by the mandatory rules in international bond transactions. This article mainly discusses the validity of the domestic exchange control laws and regulations, the quotas of Article 8 (2) (b) of the Articles of Agreement of the International Monetary Fund (IMF) and the requirements of the “Rome Convention” Article 5 Consumer Contract Terms and Conditions Restrictions on the International Bond Transactions Governing Law. All of these constitute an exception to the law governing international bond transactions and jointly govern the related issues in international bond transactions.
