《物权法》第106条将“以合理的价格转让”作为善意取得构成要件之一,表明立法者更侧重保护所有权人的利益。“合理价格”是指区间价格而非一个特定价格。“合理价格”要件化的立法同我国“零售式”的立法体例、立法者拟借助法律规则提升民事主体的道德水平的目的以及公权力的管制意图密切相关。其因无法对“合理价格”进行精准定义,导致了司法适用的混乱和法律解释难题,同时,违背私法自治原则、善意取得制度的宗旨以及生活现实。
Article 106 of the Property Law, which states that “the transfer of a reasonable price” as one of the elements of goodwill, shows that legislators are more concerned with protecting the interests of the owners. “Reasonable price ” means range price instead of a specific price. The legislation of “reasonable price” should be closely related to the legislation of “retail style” in our country, the purpose of legislators to promote the moral standard of civil subject with the rule of law, and the regulatory intention of public power. Due to its inability to precisely define “reasonable price ”, it has led to the confusion of judicial application and legal interpretation. At the same time, it violates the principle of self-government of private law, the purpose of the system of good faith acquisition and the realities of life.
