2006年9月11日,《财经时报》刊登了一篇《中资海外收购遭遇国际化“陷阱”》的文章,文中提到,近年来中资公司在“走出去”的口号下展开了针对西方名牌企业的收购,但由于中资企业在法律体制、文化理念等层面与国际化企业有着诸多差异,导致这些收购大多刹羽而归,TCL便是其中的代表。在谈及工会时,文章强调“中方领导层低估了工会的力量”,比如TCL的主管就曾公开抱怨说,在欧洲让工人加班加点可不是件容易的事。RSM Hemmelrath中国区负责人Stucken博士对此也表示,TCL购买德国企业时就低估了德国工会的作用,他们把不称职的德国工人辞掉。但事实证明,这么做行不通,因为在德国,工会的规则比中国要严很多,远不是中国人概念中的“工会”。那么,以德国为代表的西方国家工会到底是怎样的呢?对这些问题的了解,将有利于中国企业更好地避开国际化的“陷阱”。
On September 11, 2006, the Financial Times published an article titled “The Pitfall of Internationalization of Chinese-funded Overseas Acquisitions”, which mentioned that in recent years Chinese-funded companies have been targeting the “going global” slogan Western acquisitions of brand-name enterprises, but because of Chinese-funded enterprises in the legal system, cultural concepts and other aspects of international companies have many differences, leading to these acquisitions are mostly Musarum, TCL is one of the representatives. But it turns out that doing so does not work because in Germany the rules for trade unions are much more stringent than those for China and far from being “unions” in the Chinese concept. So what is the union of western countries represented by Germany in the end? Understanding of these issues will help Chinese enterprises to better avoid the “pitfalls” of internationalization.
