《联合国国际货物销售合同公约》第6条规定双方当事人可排除公约的适用,但该条款未明确公约的排除方式,因而法律选择条款是否能默示排除公约适用,学界对此分歧明显。公约默示排除存在适用的可能性,但双方当事人默示排除本公约的意图必须是明确和真实的。基于此,双方当事人笼统选择缔约国法律、选择非缔约国法律或选择缔约国具体部门法的法律效果有所不同。法院或仲裁庭应通过公约第8条的解释规则,判断当事人默示排除公约意图是否明确,以期实现法律的可预见性。
Article 6 of the “UN Convention on Contracts for the International Sale of Goods” stipulates that both parties can exclude the application of the Convention. However, the clause does not specify the exclusion of the Convention. Therefore, whether the choice of law can exclude the application of the Convention implies that there are obvious differences between the two parties. The implied exclusion of the existence of the possibility of the Convention, but both parties imply that the intent of the exclusion of this Convention must be clear and true. Based on this, the legal effects of the parties’ general choice of the law of the contracting state, the law of the non-contracting state or the law of the specific contracting state of the contracting state are different. The court or arbitral tribunal shall adopt the rules of interpretation of Article 8 of the Convention to determine whether the parties imply that the intention to exclude the Convention is clear and that the law be predictable.
