近年来,在全球范围内的产业升级、结构调整、放松管制等外在因素的推动下,全球并购规模和数量一直呈现不断上升的趋势,交易额屡创新高。随着我国经济的持续的高速增长,我国企业纷纷加快速度走出国门,走向世界,现在中国正在走入跨国并购时代。然而,在我国企业实施跨国并购的进程中,失败往往多于成功。因此,本文通过对上汽集团收购韩国双龙汽车案例过程的分析,分别从收购战略环境、收购战略原因、收购战略实施以及收购实施结果等方面研究,最终得到了导致上汽集团对于韩国双龙汽车合并失败的原因。此外,我也提出了四点建议,为将来更多中国企业走出国门起到借鉴作用。
In recent years, driven by external factors such as industrial upgrading, structural adjustment and deregulation around the world, the scale and number of global M & As have been on an upward trend with turnover reaching record highs. With the continuous rapid economic growth in our country, Chinese enterprises have been speeding their efforts to go global and go global. Now China is entering an era of cross-border mergers and acquisitions. However, in the process of multinational mergers and acquisitions carried out by Chinese enterprises, the failures are often more than successful. Therefore, by analyzing the process of the acquisition of SAIC from South Korea’s Ssangyong Motor Co., Ltd., the paper studies the strategic environment of acquisition, the reasons for the acquisition, the implementation of the acquisition strategy and the implementation results of the acquisition respectively. Finally, the paper finally concludes that SAIC has failed the merger of South Korea’s Ssangyong Motor the reason. In addition, I also made four suggestions for reference for more Chinese enterprises going abroad in the future.
