我国的独立董事制度是移植英美独立董事制度的产物。近几年来,结合我国特定的法律文化和这个时代的经济因素、政治因素,独立董事制度有了一定的发展,并将会随着经济的发展不断显现出新的特征。但不得不承认由于多方面的原因,它的发展状况令人堪忧,特别是我国关于董事制度的规定过于模糊和笼统,实际操作起来也不是很理想,严重影响了我国市场经济的健康有序发展,急需予以完善。
The system of independent directors in our country is a product of transplanting the Anglo-American independent directors system. In recent years, in light of the specific legal culture in our country and the economic and political factors of this era, the system of independent directors has made some progress and will continue to show new characteristics as the economy develops. However, it has to admit that its development has been troublesome due to many reasons. In particular, the provisions on the system of directors in our country are too vague and general and are not very satisfactory in actual operation. This has seriously affected the healthy and orderly development of China’s market economy Urgent need to be perfected.
