作为资本经营的核心内容,兼并与收购已经被国内外企业所广泛使用。特别是随着经济全球化、一体化及信息技术革命的发展,并购已经成为全球经济领域的大趋势。一项成功的并购,能够实现企业间资源合理有效的配置,使企业规模迅速扩大,达到盈利的目的。然而,调查统计表明,在已发生的众多并购案中,成功率是很低的。因此,提高并购成功率的途径,已成为众多学者探讨的话题。
As the core content of capital management, mergers and acquisitions have been widely used by domestic and foreign enterprises. Especially with the development of economic globalization, integration and information technology revolution, mergers and acquisitions have become a major trend in the global economy. A successful M & A can realize the reasonable and effective allocation of resources between enterprises and make the scale of the enterprises expand rapidly to achieve profitability. However, the survey statistics show that in many mergers and acquisitions that have taken place, the success rate is very low. Therefore, the way to improve the success rate of M & A has become a topic discussed by many scholars.
