创业资本企业所采用的组织形式和制度 ,在很大程度上直接影响着创业资本组织的投资效率和创业资本行业的发展速度。有限合伙制与公司制是两种不同的创业资本企业的组织形式。但由于有限合伙制更具有高能激励与信誉机制内置 ,道德风险极弱化、效率高等优点。既可激励和约束创业投资的行为 ,又可减轻投资者承担的风险和责任。因此 ,根据我国目前的现实情况 ,应选择有限合伙制作为我国创业资本组织的主导模式 ,并将其组织形式进行创新。
The organizational forms and systems adopted by venture capital enterprises directly affect the investment efficiency of venture capital organizations and the pace of development of venture capital industry to a large extent. The limited partnership and the corporate system are the organizational forms of two different venture capital firms. However, the limited partnership system has the advantages of high-energy incentive and reputation mechanism built-in, extremely weak moral hazard and high efficiency. It can not only stimulate and restrain the behavior of venture capital, but also reduce the risks and responsibilities that investors bear. Therefore, according to the current situation in our country, we should choose the limited partnership system as the dominant mode of our country’s venture capital organization and innovate its organizational form.
