合同风险的产生有外生性和内生性的因素。合同风险的外生性因素包括合同管理、合同协商谈判过程、合同纠纷处理等因素;合同风险的内生性因素则主要来源于合同内容本身,即合同自身的特征与合同风险相关联,不同的合同类型与合同内容决定了不同的合同风险。本文从经济学的角度出发,分析了合同标的的专用性程度、合同内容的不确定性和不完全性、合同期限的时间跨度等若干合同风险的内生性因素,并提出了相应的风险防范机制安排。
The emergence of contract risk has exogenous and endogenous factors. The exogenous factors of contract risk include contract management, process of contract negotiation and negotiation, and treatment of contract disputes. The endogenous factors of contract risk mainly come from the content of the contract itself, that is, the characteristics of the contract are related to the contract risk and different contract types The content of the contract determines the different contractual risks. From the perspective of economics, this paper analyzes the endogenous factors of certain contractual risks, such as the degree of specificity of the subject matter of the contract, the uncertainty and incompleteness of the contract content, the time span of the contract term and the corresponding risk prevention mechanism arrangement.
