股份制未必是最佳选择

当前理论界和实际部门再度重现股份制的作用,认为:国营大中企业活力不足的根本原因在于国家与企业之间产权关系界定不明,企业产权明显缺位,只有实行股份制才可解决这一问题,进而增强企业活力。我认为,撇开股份制技术上一系列约束条件不谈,在国营大中型企业中推行股份制,至少有两点值得研究:第一,单纯实行股份制能否真正解决国营大中企业的活力?推行股份制最大的好处是,把全民所有的生产资料划分为“最终所有权”和“法人所有权”,可以在理论逻辑上解决国营大中企业产权缺位问题,使国家与企业之间的产权关系明晰化。但必须看到,产权明晰或者说赋予国营大中企业法人所有权的地位,只是为形成新的企业经营机制创造的体制条件之一,不是全部条件;真正搞活国营大中企业活力还需要在企业制 The current theoretical and practical departments have regained the role of the shareholding system. However, it must be noted that the status of property rights being clearly defined or given to the ownership of state-owned large and medium-sized enterprise legal persons is only one of the institutional conditions created for the formation of new business management mechanisms, not all of the conditions; the vitality of invigorating large- and medium-sized enterprises of the state-run enterprises must also be in the corporate system.
