该文从经济性沉淀成本和制度性沉淀成本视角,分析了沉淀成本对国有企业治理结构路径依赖的影响,并提出依法依规界定国有企业治理结构层级设置和权限、遵循市场规则改革国有企业治理结构、推进国有企业落实董事会制度和职业经理人选聘制度等系统性举措,着力降低经济性沉淀成本和制度性沉淀成本,以市场化超越路径依赖,完善国有企业治理结构。
This paper analyzes the influence of the deposition cost on the path dependence of the state-owned enterprise governance structure from the perspectives of economic deposition costs and institutional deposition costs. It also proposes that the state-owned enterprises should be hierarchically defined and empowered in accordance with the law and that market rules should be followed to reform state- Structure and promote the systematic measures such as the system of board of directors and the selection of professional managers by state-owned enterprises. Efforts should be made to reduce the cost of economic deposition and systematic deposition so as to surpass the path of dependence on market-oriented reform and improve the governance structure of state-owned enterprises.
