股东和公司高管作为公司内部两大核心主体,虽然他们的利益都依赖于公司营利的实现,但是由于地位和利益的差异性,也会产生诸多问题。笔者在本文中,从分析高管与股东利益的差异性出发,通过对高管与股东利益平衡的必要性和可能性进行探讨,并试图在现有的公司管理机制下构建起一个有效的高管与股东利益平衡机制。
