中国的学者、监管者和从业者都在探索中国证券市场的规范之路,作为在公司法领域耕耘的我们,也愿意在此略尽绵薄之力。因此,我们选择了向读者介绍国内不多见的美国证券法规条文。我们希望利用《公司法律评论》和“公司法律资讯网站”(http://www.corplawinfo.com.cn)这两个载体陆续地向读者推出美国证监会的有关重要规则。在本期中,我们选择了能够体现美国证券监管制度“完全披露”这一重要理念的《公平披露规则》作为尝试的开始。当然,囿于我们的水平及时间限制,在对外国法规的翻译过程中不可避免地会产生这样那样的问题,甚至是错误,但我们的目的在于向有志于研习美国证券法的读者构筑一个资料参考的平台,因此欢迎读者批评指正。
Chinese academics, regulators and practitioners are exploring the norms of China’s securities market. As we work hard in the field of corporate law, we are also willing to make modest contributions here. Therefore, we have chosen to introduce readers to rare domestic securities laws and regulations in the United States. We hope to introduce readers to the relevant important rules of the CSRC through the use of the “Company Law Review” and the “Company Legal Information Website” (http://www.corplawinfo.com.cn). In this issue, we have chosen the “fair disclosure rules” that reflect the important concept of “full disclosure” of the U.S. securities regulatory regime as the beginning of an attempt. Of course, as far as our level and time limit are concerned, such problems and mistakes are inevitable in the process of translating foreign laws and regulations. However, our goal is to create a document for readers who are interested in studying the securities law of the United States Reference platform, therefore welcome readers criticism.
