在《ICSID公约》的起草过程中,由于对采用何种法人国籍认定标准难以达成共识,因此公约起草者们有意在公约中忽略了这个问题。然而在“中心”机制的实践中,仲裁庭对法人国籍认定采取灵活、广泛的态度,存在着扩大“中心”管辖权的倾向,尽管很多学者以及发展中国家对此提出批评。在我国对外缔结的双边投资协定中,目前也存在着对法人投资者国籍认定采取广泛态度的趋势。而这种趋势与我国对于“中心”管辖权采取不设限同意的趋势相结合,将产生扩大“中心”管辖权的效果。这真的是我们所需要的吗?
During the process of drafting the ICSID Convention, the drafters of the convention intended to ignore this issue in the convention due to the difficulty of reaching a consensus on the type of legal personality to be adopted. However, in the practice of the “center” mechanism, the arbitration tribunal has a flexible and broad attitude toward the determination of the legal person’s nationality and there is a tendency to expand its “center” jurisdiction, though many scholars and developing countries criticize this. In our bilateral foreign investment agreement concluded at present, there is also a trend of taking a broad attitude toward the identification of legal person investors. This trend, combined with our trend of unqualified jurisdiction over the “center” jurisdiction, will have the effect of expanding the “center” jurisdiction. Is this really what we need?
