作为公司设立时,必须向公司登记机关提交的法律文件之一,公司章程具有明确的法定地位和作用,除了《公司法》本身之外,依法制定的公司章程就成为规范公司组织形式和行为准则的最重要法律文件。因此,笔者对公司章程的内容、性质、效力做简要分析探讨,籍此呼吁和强化公司的投资者、经营者或管理者们对《公司章程》的制定和遵守给予更多的关注。
