近年来,伴随着我国银行业综合实力和国际地位的大幅上升,中资银行跨境并购活动日益活跃,已成为国际并购市场的一支重要力量。有关研究银行并购动因与绩效的文献也大量涌现出来,与以往研究不同的是,本文着眼于中资银行跨境并购过程中的每一个环节与措施,以筛选出最有利于提升境外并购业绩的并购路径。基于一系列国内外文献综述,本文从战略路径、目标路径、方式路径、整合路径四方面着手,力图较全面地对银行跨国并购路径的研究进行系统的综合与评述。
In recent years, along with the substantial increase of China’s banking industry’s comprehensive strength and international status, Chinese banks have become increasingly active in cross-border M & A and have become an important force in the international M & A market. The literature on the motivation and performance of bank mergers and acquisitions has also emerged in a large amount. Unlike previous studies, this paper focuses on every aspect and measure of cross-border mergers and acquisitions of Chinese banks in order to screen out the most conducive to enhancing the performance of overseas mergers and acquisitions M & A path. Based on a series of literature review at home and abroad, this paper tries to comprehensively review and comment on the research of cross-border M & A of banks from four aspects: strategic path, target path, mode path and integration path.
