《公司法》施行10余年来,公司法律制度在鼓励股东投资、创造社会财富方面发挥了重要作用。实践中,也有不少人以“有限责任”为幌子,暗箱操作,侵害了广大债权人的合法权益。2006年1月1日,新《公司法》正式实施,引入“揭开公司面纱”理论是本次修订的重要内容。在新的法律制度下,妥善运用“揭开公司面纱”理论,将成为电力企业防范电费风险的有力武器。
Since the implementation of the Company Law for more than 10 years, the corporate legal system has played an important role in encouraging shareholders to invest and create social wealth. In practice, many people use the guise of “limited liability ” as their guise and black-box operation to infringe on the legitimate rights and interests of creditors. January 1, 2006, the new “Company Law” was formally implemented, the introduction of “corporate veil ” theory is an important part of this revision. Under the new legal system, the proper use of the theory of “uncovering the corporate veil” will become a powerful weapon for the electric power enterprises to guard against the risk of electricity tariffs.
