《兰金与斯派萨氏公司法》(RANKING ＆ SPICER＇S COMPANY LAW)在资本主义国家中是一部较有影响的公司法,自1909年初版问世后,至今已出了十二版。第十二版是1981年出版的。作者在该版中根据当前情况的变化作了较大的修改,现发表的译本是根据第十二版本翻译的。当前我国正在实行对外开放政策,大力开展对外经济贸易往来和合作,积极建立和健全各种涉外经济立法。这本《公司法》对我们颇有参考价值。本刊自本期起连续摘要译登,以飨读者。
RANKING & SPICER’S COMPANY LAW is a relatively influential company law in capitalist countries. Twelve editions have been published since the publication of the first edition in 1909. The twelfth edition was published in 1981. The author made major changes in this edition based on changes in the current situation. The translations now published are based on the twelfth edition.
